1. Agreement to Terms

Welcome to MemeNova AI. By accessing or using our AI-powered meme generation service at memenova.site ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and MemeNova AI ("Company," "we," "us," or "our").

2. Description of Service

MemeNova AI provides an AI-powered meme generation platform that allows users to create custom memes using advanced artificial intelligence technology (Google Gemini). Our Service offers various subscription tiers with different features and usage limits.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. User Accounts

3.1 Account Registration

To use certain features of the Service, you must create an account by providing:

• A valid email address
• A secure password
• Optional profile information

3.2 Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring your account information is accurate and up-to-date

3.3 Account Restrictions

You must be at least 13 years old to use this Service. Users under 18 must have parental consent.

4. Subscription Plans and Billing

4.1 Subscription Tiers

We offer the following subscription plans:

• The Normie (Free): 3 meme generations per day, standard queue, personal use only
• Dank Dealer (₹499/month): 100 meme generations per month, fast generation, commercial license
• Meme Lord (₹1,499/month): Unlimited generations, trend surfing with live internet access, full commercial rights, no watermarks

4.2 Payment Terms

• Subscription fees are billed monthly in advance
• Payments are processed through Razorpay
• All prices are in Indian Rupees (INR) and include applicable GST
• We reserve the right to change our pricing with 30 days' notice

4.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You will be charged using the payment method on file.

4.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period. No partial refunds are provided for unused time in the current billing period.

5. Usage Credits and Limits

• Each meme generation costs 1 credit
• Free tier users receive 3 credits per day (resets at midnight IST)
• Paid plan credits are allocated monthly and do not roll over
• Meme Lord users have unlimited generations (subject to fair use policy)
• Unused credits expire at the end of each billing period

6. Referral Program

Users can earn bonus credits by referring new users:

• You receive 10 bonus credits when a referred user signs up
• Referred users receive 5 bonus credits upon signup
• Referral credits are valid for 90 days
• Fraudulent referral activity may result in account termination

7. Acceptable Use Policy

7.1 Prohibited Content

You may NOT use our Service to create content that:

• Violates any laws or regulations
• Infringes on intellectual property rights of others
• Contains hate speech, threats, or harassment
• Promotes violence, terrorism, or illegal activities
• Depicts child exploitation or abuse
• Contains graphic sexual or violent content
• Spreads misinformation or disinformation
• Impersonates others or misrepresents your identity

7.2 Prohibited Activities

You may NOT:

• Use automated tools, bots, or scripts to access the Service
• Attempt to reverse engineer, decompile, or hack our systems
• Resell, redistribute, or sublicense our Service
• Abuse the referral system or create fake accounts
• Exceed rate limits or abuse unlimited plan features
• Interfere with other users' access to the Service

7.3 Enforcement

Violation of these terms may result in suspension or termination of your account without refund. We reserve the right to remove prohibited content and report illegal activity to authorities.

8. Intellectual Property Rights

8.1 Your Content

You retain ownership of memes you create using our Service. However, you grant us a limited license to store, process, and display your content to provide the Service.

8.2 Commercial Use License

• Free Tier: Personal use only, no commercial rights
• Dank Dealer: Full commercial license for generated content
• Meme Lord: Full commercial rights with no watermarks

8.3 Our Intellectual Property

The Service, including its design, code, logos, and trademarks, is owned by MemeNova AI and protected by copyright and trademark laws. You may not copy, modify, or create derivative works without our permission.

9. Content Disclaimer

MemeNova AI uses AI technology to generate content. While we implement safeguards:

• We cannot guarantee accuracy or appropriateness of all generated content
• AI-generated content may occasionally be offensive or inappropriate
• You are responsible for reviewing and using generated content appropriately
• We are not liable for any damages resulting from use of generated content

10. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to our collection and use of data as described in the Privacy Policy.

11. Disclaimers and Limitation of Liability

11.1 Service Availability

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind. We do not guarantee uninterrupted or error-free service.

11.2 Limitation of Liability

To the maximum extent permitted by law, MemeNova AI shall not be liable for:

• Indirect, incidental, special, or consequential damages

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

You agree to indemnify and hold harmless MemeNova AI from any claims, damages, losses, or expenses arising from:

• Your violation of these Terms
• Your violation of any third-party rights
• Content you create using the Service

13. Third-Party Services

Our Service integrates with third-party services including:

• Google Gemini AI for content generation
• Razorpay for payment processing
• Supabase for authentication and database

Your use of these third-party services is subject to their respective terms and policies. We are not responsible for third-party service failures or actions.

14. Termination

14.1 By You

You may terminate your account at any time through account settings or by contacting support.

14.2 By Us

We may suspend or terminate your account if:

• You violate these Terms or our policies
• You engage in fraudulent or illegal activity
• Your payment method fails
• We discontinue the Service

14.3 Effect of Termination

Upon termination, your access to the Service will cease, and we may delete your account data after 30 days. You will not be entitled to refunds for unused subscription time.

15. Dispute Resolution

These Terms shall be governed by the laws of India, without regard to conflict of law provisions.

15.2 Jurisdiction

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of courts in Bangalore, Karnataka, India.

15.3 Arbitration

Before filing a lawsuit, you agree to attempt to resolve disputes through good-faith negotiation. If unresolved after 30 days, disputes may be submitted to binding arbitration.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or Service notification at least 30 days in advance. Continued use of the Service after changes take effect constitutes acceptance of the new Terms.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and MemeNova AI.

17.2 Severability

If any provision of these Terms is found invalid, the remaining provisions shall remain in effect.

17.3 No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

17.4 Assignment

You may not transfer your rights under these Terms. We may assign our rights to any affiliate or successor.
